The Board of Directors of Solvay Bank Corp. declared on December 17,
2002, a fourth quarter dividend of $.34 per share.
The dividend is payable on January 17, 2003 to shareholders of record on
January 2, 2003. The dividends declared on 2002
of $1.00 per share reflect a 25% increase over dividends declared in
2001.

CHRISTMAS PARTY

Solvay Bank will sponsor its 10th Annual Community Christmas Party on
Sunday, December 8th from 4 -6pm at the Solvay -
Geddes Community Youth Center. "We are delighted to host this
event to celebrate the holiday season with our community," said Paul
Mello, President & CEO. "It is very family -oriented and everyone
enjoys themselves immensely. It also provides an opportunity to help
replenish the shelves of the neighborhood food pantries."
The free event is open to the public and will feature music provided by
the DeSantis Band along with Clowning for Joy,
refreshments and a visit by Santa and Mrs. Claus. Donations of canned
food items will be accepted for the local food
pantries.

SOLVAY BANK ANNOUNCES RECORD EARNINGS

Solvay Bank Corp., the holding company for Solvay Bank completed a very
successful third quarter, achieving record
earnings. Net income through the third wuarter was $3.2 million,
increasing $599 thousand or 23.1% over net income in the
same period in 2001. Net income for the third quarter was $1.1 million,
up 26.4% from earnings in the third quarter of 2001.
"Despite a difficult interest rate environment and a sluggish Central
New York economy," said Paul Mello, President & CEO,
"we continue to achieve record earnings through conservative
underwriting practices and the management of our loan and
deposit products margins. Total assets grew to a record $401.4 million
at September 30, 2002 compared to $364.1 million
last year for an increase of $37.3 million of 10.2%. The increase in
assets was a direct result of a surge in deposits, which
rose to a record $362.0 million, up $33.9 million or 10.2% Mr. Mello
attributed the growth of deposits to weaknesses in the
financial markets.

August 23, 2002: The Board of Directors of Solvay Bank Corp., on August
20, 2002, unanimously appointed Paul P. Mello,
President and Chief Executive Officer of Solvay Bank and Solvay Bank
Corp. and a Director of each Corporation. Mr. Mello
joined Solvay Bank in 1993 as Chief Financial Officer and Treasurer and
was appointed Chief Operating Officer, Chief
Financial Officer, and Treasurer in 1998. In 2001, he was appointed
Executive Vice President and Chief Financial Officer.
Mr. Mello grew up on the south side of the city of Syracuse in the
Valley and attended Corcoran High School. A graduate of
LeMoyne College, he is a local Certified Public Accountant, having
formerly been on the staff of a "Big Six" accounting firm.
Mr. Mello lives in the Town of Onondaga with his wife, Sheila, and their
daughters, two -year - old Meghan and ten -month - old
Anastasia. Mr. Mello serves on the Board of Directors of Val's
Motors, Inc. He is the Treasurer of the Syracuse Liberty Partnerships
Dollars for Scholars and Treasurer of the Greater Geddes Chamber of
Commerce. He is also involved in the Solvay Vision
Partnership. In 2001, Mr. Mello was a recipient of the Syracuse 40 Under
40 Award honoring professionals under the age of
40 for their business accomplishments and community involvement. Mr.
Mello is a member of the New York State Society of
Certified Public Accountants and the American Institute of Certified
Public Accountants.

Solvay Bank Corp., the holding company for Solvay Bank., announced
record profits and growth through the second quarter
of this year. Total assets grew to a record $387.8 million at June 30,
2002, compared to $355.4 million last year for an
increase of $32.4 million or 9.1%. Total loans were $272.0 million, up
$6.0 million or 2.2%. Total deposits were $354.6 million,
increasing $29.1 million or 8.9%. Net income through the second quarter
was $2.1 million, up $366 thousand or 21.4% over
the same period in 2001. Net income per share was $1.93 per share,
compared to $1.60 per share last year. Alvin D. Falso,
President & CEO, attributed the solid growth to closely monitoring loan
and deposit product margins and controlling balance
sheet growth.
During the second quarter, Solvay Bank also announced the release of
BusinessAccess 24, a commercial internet banking
product that allows customers to review deposits and loan balances and
transactions directly from a personal computer
twenty -four hours a day. Customers also have the ability to initiate
internal funds transfers, wire transfers, stop payments
and ACH file transfers. "BusinessAccess 24 has been well received,
stated Falso, "and it compliments our other online
banking products, MoneyLink 24, for consumer customers, and Portfolio
Account Link, for our Trust Department customers.
